Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you," "your") and Woosh Labs ("Woosh," "we," "us") governing your access to and use of wooshlabs.com(the "Site") and the products sold through it (the "Products"). By accessing the Site, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1. Research use only

All Products offered by Woosh are research chemicals intended solely for in-vitro laboratory and research applications by qualified professionals. The Products are NOT drugs, food, dietary supplements, cosmetics, medical devices, or household chemicals, and are NOT intended for human or veterinary use, ingestion, inhalation, topical application, or in-vivo administration of any kind.

By placing an order, you affirm that you are a qualified researcher or representative of a research institution, that you will use the Products strictly for research purposes within a controlled laboratory environment, and that you will comply with all applicable federal, state, and local laws and your institution's policies governing research and the handling of research compounds.

2. Eligibility

You must be at least 21 years of age and a legal resident of the United States to access the Site or purchase any Product. If you do not meet these requirements, do not use the Site or place an order. We reserve the right to refuse service, cancel orders, or terminate accounts at any time, with or without notice, for any lawful reason — including failed age or identity verification.

3. Account registration

You may browse the Site without an account, but completing a purchase may require account creation. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at info@wooshlabs.com if you suspect unauthorized access.

4. Orders and order acceptance

Your submission of an order is an offer to purchase. Receipt of an order confirmation email is not acceptance — it confirms only that we have received your offer. We may decline or cancel any order at our sole discretion, including for reasons of pricing or availability error, suspected fraud, failed identity or age verification, or compliance with applicable law. Acceptance occurs only when we ship the Product. If we cancel an order after payment, we will refund the full charge to the original payment method.

5. Pricing, taxes, and payment

All prices are listed in U.S. dollars (USD) and are exclusive of applicable sales tax, which is calculated and displayed at checkout based on the shipping destination. Prices, promotions, and availability are subject to change without notice until your order is accepted.

Payment is due in full at the time of order placement via the methods offered at checkout. By providing payment information, you represent that you are authorized to use the payment instrument and authorize Woosh and its payment processors to charge the full order total — including taxes and any applicable fees — to that instrument.

6. Shipping and delivery

Woosh ships within the United States only. We do not ship to international addresses, U.S. military APO/FPO addresses, freight forwarders, or P.O. boxes located outside the 50 states. Detailed shipping methods, transit times, packaging standards, and our lost / damaged / stolen-package policy are set out in our Shipping Policy, which is incorporated into these Terms by reference.

7. Returns and refunds

Because the Products are research compounds with strict cold-chain and chain-of-custody requirements, all sales are final once the package leaves our facility. We do not accept returns of opened, used, or unsealed Products. If your order arrives damaged, mis-picked, or with a compromised seal, contact info@wooshlabs.com within 72 hours of delivery with photographs and order details and we will replace the affected vials at no cost or, at our discretion, issue a refund to the original payment method.

8. Quality, Certificates of Analysis, and product information

Every batch is tested by an independent third-party laboratory for identity, purity, and contaminant load. A batch-specific Certificate of Analysis (CoA) is attached to every order and is available on request prior to purchase. Product specifications displayed on the Site — including molecular weights, formulas, purity claims, and category labels — are provided as accurately as possible but may contain inadvertent errors; the CoA is the authoritative source for the batch you receive.

9. Acceptable use

You agree not to:

• Use the Site or Products in any way that violates any applicable federal, state, or local law or regulation, or any rule of your institution.
• Resell, redistribute, repackage, or transfer Products to any third party — including via online marketplaces, classified listings, or social platforms.
• Administer, ingest, inhale, or apply the Products to a human, animal, or any living organism intended for consumption.
• Misrepresent yourself, your affiliation, or the intended use of the Products at any point in the order or fulfilment process.
• Attempt to scrape, reverse-engineer, overload, or otherwise interfere with the Site, our APIs, or our systems.

10. Intellectual property

All content on the Site — including the Woosh name and logo, product imagery, copy, illustrations, page layouts, code, and associated trademarks — is the property of Woosh or its licensors and is protected by U.S. and international copyright and trademark law. You may view and download content for your personal, non- commercial reference only. Any other use, including reproduction, distribution, public display, or creation of derivative works, requires our prior written consent.

11. Disclaimer of warranties

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WOOSH DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WOOSH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR PRODUCTS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WOOSH IN THE NINETY (90) DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Woosh and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in any way connected with (a) your access to or use of the Site or Products, (b) your violation of these Terms, (c) your violation of any law or the rights of any third party, or (d) any administration of a Product to a human or animal in violation of these Terms.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site or Products shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Modifications to these Terms

We may revise these Terms at any time by posting an updated version on this page and updating the "Last updated" date above. Material changes will be communicated by a notice on the Site or an email to the address on file with your account. Your continued use of the Site after the effective date of any revision constitutes your acceptance of the revised Terms.

16. Termination

We may suspend or terminate your access to the Site or your account at any time, with or without notice, for conduct we believe violates these Terms or is otherwise harmful to Woosh, its customers, or third parties. Sections 1, 9, 10, 11, 12, 13, 14, and 17 survive termination.

17. Miscellaneous

These Terms — together with our Privacy Policy and Shipping Policy — constitute the entire agreement between you and Woosh regarding the Site and Products and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them freely.
